These terms govern your use of sawanii.com and any services provided by
Sawanii. By using our website or engaging our services, you accept these terms.
1. WHO WE ARE
Sawanii is a web development studio operated by [Adnan hamdii],
based in Egypt (“we,” “us,” “our”).

2. SERVICES
We provide website design and development, WooCommerce development, search
engine optimization, performance optimization, and ongoing maintenance.
The specific scope of any engagement is defined in a written proposal or
quotation agreed between us. Where these terms conflict with a signed
agreement, the signed agreement takes precedence.
3. QUOTES AND PRICING
All prices published on this website are indicative starting ranges, not
fixed offers. Final pricing is confirmed in a written quotation.
Quotations are valid for [30] days unless stated otherwise.
Prices are quoted in [USD] and exclude any taxes, duties, or transaction fees
that may apply in your jurisdiction.
4. PAYMENT TERMS
Unless agreed otherwise in writing:
– A deposit of [50]% is payable before work begins
– The balance is payable on completion, before final delivery or launch
– Maintenance plans are billed [monthly] in advance
– Invoices are due within [14] days of issue
We may suspend work on overdue accounts. Late payment may incur a charge of
[0]% per month on the outstanding balance.
5. PROJECT TIMELINES
Timelines are estimates given in good faith and depend on:
– Timely delivery of content, images, and feedback from you
– Timely access to hosting, domains, and third-party accounts
– Scope remaining as originally agreed
Delays caused by late client input extend the timeline accordingly. We are not
liable for missed deadlines resulting from such delays.
6. YOUR RESPONSIBILITIES
You agree to:
– Provide accurate information and materials on request
– Confirm you own or are licensed to use any content you supply to us
– Nominate one point of contact for approvals
– Review and respond to deliverables within [7] days
You are responsible for the legality of the content you supply. We may decline
to publish material we consider unlawful or infringing.
7. REVISIONS AND SCOPE
Each project includes [2] rounds of revisions at the design stage and [2] at
the development stage, unless stated otherwise in the proposal.
Requests outside the agreed scope will be quoted separately before work begins.
8. INTELLECTUAL PROPERTY
On receipt of full payment, ownership of the final custom design and custom
code produced specifically for your project transfers to you.
The following remain excluded from that transfer:
– Third-party themes, plugins, fonts, and stock assets, which remain under
their own licenses and may require ongoing subscriptions
– Our pre-existing tools, frameworks, and internal libraries, for which you
receive a perpetual, non-exclusive license to use as part of your website
Until payment is received in full, all work remains our property.
9. PORTFOLIO RIGHTS
Unless you notify us in writing before project completion, we may display the
completed work in our portfolio, on social media, and in marketing materials,
including screenshots and a description of the work performed.
We will never disclose confidential business information, credentials, or
data.
10. THIRD-PARTY SERVICES
Projects may rely on third-party services including hosting, plugins, payment
gateways, and APIs. These are governed by their own terms and pricing. We are
not responsible for their availability, changes, or failures.
Any subscription or license costs for third-party services are your
responsibility unless expressly included in the quotation.
11. WARRANTY
We warrant that the delivered website will function substantially as described
in the agreed specification for [10] days after launch. Within that period we
will correct defects at no charge.
This warranty does not cover:
– Changes made by you or a third party after delivery
– Issues caused by third-party plugin or platform updates
– Hosting failures or server misconfiguration outside our control
– New features or changes to the agreed scope
After the warranty period, support is available under a maintenance plan or at
our standard hourly rate.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
– Our total liability arising from any engagement is limited to the total fees
paid by you for that engagement
– We are not liable for indirect, incidental, or consequential losses,
including lost profits, lost data, or business interruption
– We are not liable for losses arising from third-party services, hosting
providers, or events outside our reasonable control
Nothing in these terms excludes liability that cannot lawfully be excluded.
13. BACKUPS AND DATA
We take reasonable care with project files during an engagement. You are
responsible for maintaining independent backups of your website and data
after delivery, unless you hold an active maintenance plan that includes
backups.
14. CANCELLATION
You may cancel a project at any time in writing. Deposits are non-refundable.
You remain liable for work completed up to the cancellation date, invoiced at
our standard rate.
We may terminate an engagement if payment is more than [30] days overdue, if
the agreed scope changes fundamentally, or in the event of abusive conduct.
15. CONFIDENTIALITY
Each party agrees to keep the other’s non-public business information
confidential and not to disclose it to third parties, except where required by
law. This obligation continues after the engagement ends.
16. WEBSITE USE
The content on sawanii.com is our property and may not be copied,
redistributed, or used commercially without permission.
You may not attempt to gain unauthorised access to our systems, transmit
malicious code, or use the site in any unlawful way.
17. CHANGES TO THESE TERMS
We may update these terms. The version in effect at the time of your
engagement applies to that engagement. Continued use of the website
constitutes acceptance of the current terms.
18. GOVERNING LAW
These terms are governed by the laws of [Egypt]. Any dispute will be subject
to the exclusive jurisdiction of the courts of [Assiut], Egypt.
Where you are a business located elsewhere, the parties may agree an
alternative jurisdiction in the project agreement.
